These Terms of Use (this "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and EasyLlama, Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of the Compliance Grader platform, including all associated software, algorithms, databases, regulatory mappings, structured outputs, content, and documentation (collectively, the "Tool").

You represent and warrant that you are accessing and using the Tool on behalf of a business entity or organization and that you have full legal authority to bind such entity or organization to this Agreement. If you are accessing the Tool on behalf of an employer, client, or other entity, this Agreement is binding upon that entity, and the term "User" as used herein shall refer to that entity.


If you do not have authority to bind the applicable entity, you may not access or use the Tool.


By accessing or using the Tool, including by submitting responses to the Tool and requesting a report, you acknowledge that you have read, understand, and agree to be bound by this Agreement. If you do not agree, you may not access or use the Tool.


1. Nature of the Tool.

    1.1. Business Use. The Tool is offered for business and professional use. It is intended to be used by individuals acting on behalf of organizations in connection with workplace training, regulatory compliance, or related commercial activities. The Tool is not directed to consumers for personal, family, or household purposes. By using the Tool, you represent that you are accessing it in a professional or commercial capacity and not as a consumer within the meaning of applicable consumer protection laws.

    1.2. No Advice. The Tool is an automated informational application designed to generate generalized regulatory training guidance based on information provided by the User. Any reports, determinations, summaries, mappings, or other materials generated by the Tool (collectively, "Outputs") are derived from publicly available legal sources and Company's proprietary analytical frameworks. The Tool and all Outputs are for informational purposes only. They are not intended to and do not constitute legal advice, regulatory certification, audit services, compliance consulting, or professional services of any kind. Company is not a law firm and does not provide legal representation or advisory services through the Tool. No attorney-client, consultant-client, fiduciary, or advisory relationship is created by use of the Tool.

    1.3. Assumption of Risk. Regulatory compliance determinations are inherently fact-specific and may depend upon operational details, contractual relationships, jurisdictional interpretation, enforcement posture, and evolving agency guidance that the Tool cannot fully evaluate. Certain training obligations may arise from statutory interpretation, implied regulatory standards, or "reasonable safeguards" requirements that require contextual legal judgment. Laws, regulations, and agency interpretations change over time and may vary across jurisdictions. Company does not undertake to monitor changes in law as they may apply to User or to update previously generated Outputs. User is solely responsible for determining the applicability of any law or regulation to its organization, independently verifying any Output, implementing and maintaining its compliance program, and obtaining professional advice where appropriate. User assumes all risk arising from reliance on any Output and expressly waives any claim that the Tool constitutes definitive legal or regulatory guidance.


2. License and Data.

    2.1. Tool and Output License. Company grants User a limited, revocable, non-exclusive, non-transferable license to access and use the Tool and Outputs for internal business use only. User may not: (1) reverse engineer, decompile, scrape, systematically extract data, use Outputs to develop a competing product, or otherwise exploit the Tool beyond the scope permitted herein; (2) sell, resell, license, sublicense, distribute, publish, transfer, or otherwise commercially exploit the Output; (3) provide the Output to any third party as a standalone product or service, or as part of a commercial offering; or (4) use the Output to develop, train, enhance, benchmark, or validate any product or service that competes with Provider's offerings.

    2.2. User Data License. "User Data" means any information, content, or materials submitted by User through the Tool. As between the parties, User retains any ownership rights it may have in User Data. User grants Company a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, analyze, modify, adapt, create derivative works from, aggregate, and otherwise exploit User Data for purposes of operating, improving, and commercializing the Tool and related products and services. Company may aggregate and de-identify User Data and may use such aggregated or de-identified information for any lawful business purpose, including analytics, benchmarking, research, marketing insights, and machine learning model development. User represents that it has all necessary rights and authority to submit User Data and to grant the foregoing license.

    2.3. Consent to Contact. By submitting information through the Tool, User consents to receive communications from Company relating to User's inquiry, follow-up questions, product demonstrations, service offerings, and compliance solutions relevant to User's expressed interests. User acknowledges that submission of contact information constitutes a request for follow-up communication regarding Company's products and services.

    2.4. Data Protection. Company processes personal information in accordance with its Privacy Policy, which is incorporated herein by reference. To the extent the California Consumer Privacy Act applies, Company acts as a business collecting personal information directly from business contacts for commercial purposes. Information submitted through the Tool may be used for lead qualification, marketing, analytics, product development, and other business purposes described in the Privacy Policy. Company does not "sell" personal information as that term is defined under CCPA unless expressly disclosed in the Privacy Policy. To the extent the General Data Protection Regulation ("GDPR") applies, Company processes personal data on the basis of legitimate interests in operating, improving, and marketing its products and services, and where applicable, on the basis of consent provided by User through submission of information. User represents that it has provided any required notices and obtained any necessary consents before submitting personal data of third parties. Nothing in this Agreement limits rights granted under applicable data protection laws.


3. Disclaimer of Warranties. The Tool and all Outputs are provided "As Is" and "As Available." To the maximum extent permitted by law, Company disclaims all warranties, whether express, implied, statutory, or otherwise, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, or regulatory sufficiency. Company does not warrant that use of the Tool will result in compliance with any law or prevent regulatory enforcement.


4. Limitation of Liability. To the maximum extent permitted by law, except with respect to Company's gross negligence or willful misconduct, (a) Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to this Agreement, the Tool, or its Outputs, including loss of profits, business interruption, regulatory fines, damages, enforcement actions, loss of licensure, loss of contracts, or reputational harm, and (b) in no event shall Company's total aggregate liability arising out of or related to this Agreement, the Tool, or its Outputs exceed one hundred U.S. Dollars (US $100).


5. Indemnification. User agrees to indemnify and hold harmless Company from any claim, liability, damage, loss, or expense arising out of User's use of the Tool, reliance on Outputs, violation of this Agreement, or alleged violation of law.


6. Miscellaneous.

    6.1. Governing Law and Venue. This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. If the arbitration provision is held unenforceable, exclusive jurisdiction shall lie in the state or federal courts located in Delaware.

    6.2. Binding Arbitration; Class Action Waiver. Any dispute, claim, or controversy arising out of or relating to this Agreement, the Tool, or any Output shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, enforceability, or formation of this arbitration provision. All disputes shall be resolved on an individual basis. User agrees that no claim may be brought as a class action, collective action, mass action, or representative proceeding. The arbitrator shall not have authority to consolidate claims or preside over any form of representative proceeding. To the extent a dispute is not subject to arbitration, the parties waive any right to trial by jury.

    6.3. Modification and Survival. Company may modify this Agreement at any time by posting an updated version. Continued use of the Tool constitutes acceptance of the revised Agreement. Provisions relating to license, intellectual property, disclaimers, limitation of liability, indemnification and data rights shall survive termination.
